Terms of Service

These Terms of Service govern your access to and use of Neuralbase, including the website, dashboard, API, backups, and any associated software, documentation, and support made available by Neuralbase.

1. Acceptance and Eligibility

By accessing or using Neuralbase, you agree to these Terms of Service. If you are using the service on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

You may use Neuralbase only in compliance with applicable law and only if you are legally able to enter into a binding contract.

2. Accounts, Workspaces, and API Keys

You are responsible for maintaining the security of your account, your workspace, and any API keys issued under that workspace. You must keep credentials confidential and notify us promptly if you believe an account or key has been compromised.

You are responsible for all activity occurring under your account or API keys, including actions taken by team members, contractors, or systems you authorize.

3. The Service

Neuralbase provides hosted APIs and dashboard tooling for memory ingestion, semantic retrieval, document parsing, usage visibility, plan enforcement, and backup status. We may modify, improve, suspend, or discontinue parts of the service from time to time.

Some features may be offered as previews, betas, or incomplete workflows. Those features may change, be limited, or be removed without notice and may be subject to additional risk or reduced support.

4. Acceptable Use

You may not use Neuralbase to:

  • violate law, third-party rights, or contractual obligations;
  • store or transmit malware, harmful code, or material designed to disrupt the service;
  • bypass quotas, rate limits, access controls, or backup restrictions;
  • attempt unauthorized access to other users' data, workspaces, or infrastructure;
  • submit content you do not have the right to store, process, or disclose;
  • interfere with the security, availability, or integrity of the service.

You should not use Neuralbase for regulated or highly sensitive data unless you have independently determined that the service is suitable for that use case and that any required legal, contractual, and technical safeguards are in place.

5. Customer Data

As between you and Neuralbase, you retain ownership of the content you submit to the service, including memories, documents, metadata, and retrieval payloads.

You grant Neuralbase a non-exclusive, worldwide license to host, copy, transmit, transform, parse, chunk, embed, index, retrieve, back up, and otherwise process customer data as necessary to provide, secure, maintain, and improve the service.

You represent that you have all rights and permissions needed to submit customer data to the service and to permit the processing described in these Terms and the Privacy Policy.

6. Plans, Billing, and Backups

Neuralbase offers free and paid plans. Plan limits, backup eligibility, and quota behavior differ by tier. Free access is intentionally limited. Paid access may be activated through order form, invoice, manual enablement, or future self-serve checkout.

All plans use persistent storage. Scheduled daily backups with 30-day retention are currently available only on eligible paid plans. Restore handling is manual and operationally controlled. A paid plan does not guarantee an instant or automated restore.

Fees, if any, are due as described at purchase or in the governing order form. Unless otherwise required by law or stated in a separate written agreement, fees are non-refundable.

7. Suspension and Termination

We may suspend or terminate access to the service immediately if we reasonably believe you breached these Terms, created security risk, violated law, endangered the platform, or attempted to bypass technical or commercial controls.

You may stop using the service at any time. Upon termination, your right to access the service ends, but provisions that by their nature should survive termination will survive.

8. Third-Party Services

Neuralbase relies on third-party infrastructure and integrations, including Google and GitHub for optional sign-in, Voyage AI for embeddings, and hosted infrastructure providers for storage, compute, caching, and vector operations.

Your use of third-party services may also be governed by those providers' terms and policies. Neuralbase is not responsible for third-party services we do not control.

9. Disclaimers

To the fullest extent permitted by law, Neuralbase is provided "as is" and "as available." Neuralbase disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the service will be uninterrupted, secure, or error-free.

We do not warrant that customer data will always be recoverable or that any specific backup or restore objective will be met in all cases.

10. Limitation of Liability

To the fullest extent permitted by law, Neuralbase and its affiliates, service providers, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to the service.

To the fullest extent permitted by law, the total aggregate liability of Neuralbase for all claims arising out of or relating to the service will not exceed the greater of (a) the amounts you paid to Neuralbase for the service in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

11. Indemnity

You will defend, indemnify, and hold harmless Neuralbase and its affiliates, officers, employees, and agents from and against claims, damages, liabilities, losses, and expenses arising out of or related to your use of the service, your customer data, your violation of these Terms, or your violation of applicable law or third-party rights.

12. Changes and Contact

We may update these Terms from time to time. The updated version becomes effective when posted, unless a later date is stated. Your continued use of the service after the effective date of updated Terms constitutes acceptance of the updated Terms.
